YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS RESTORING MUMS, ITS PARENT COMPANIES, SUBSIDIARIES, DIRECTORS, OFFICERS AND EMPLOYEES, LICENSORS, AGENTS, AFFILIATES, CUSTOMERS, VENDORS, FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES LIABILITIES, COSTS OR DEBT, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS FEES AND COST) ARISING FROM: (I) YOUR USE OF THE SERVICE AND/OR THE WEBSITE (INCLUDING THE NEGLIGENT OR WRONGFUL CONDUCT); (II) YOUR VIOLATION OF ANY TERMS OF THIS AGREEMENT; (III) YOUR VIOLATION OF ANY THIRD-PARTY RIGHT, INCLUDING WITHOUT LIMITATION ANY RIGHT OF PRIVACY OR INTELECTUAL PROPERTY RIGHTS; (IV) YOUR VIOLATION OF ANY APPLICABLE LAW, RULE, OR REGUATIONA; (V) ANY CLAIM OR DAMAGES THAT ARISE AS A RESULT OF ANY OF YOUR USER CONTENT OR ANY THAT IS SUBMITTED VIA YOUR ACCOUNT OR RESTORING MUMS USER ID.

Any copyrights, patent rights, trademarks, commercial secrets and other ownerships and rights relating to the Service and/or the Website provided on the Website belong to Restoring Mums, its suppliers, vendors, agents, employees, officers, subsidiaries, members or affiliates. All items on the Website are copyrighted by Restoring Mums. This copyright extends to text and graphics, the selection, arrangement and presentation of all materials, and the overall design of the Website. You are prohibited from reproduction or republication of the Website content without prior written permission. The Website may also contain valuable trademarks, service marks, names, titles, logos, images, designs, copyrights and other proprietary materials owned, registered and used by other companies who have authorized their use on the Website only. Unless agreed by Restoring Mums, no individual or entity shall download, reproduce, transmit, edit or otherwise use any of such copyrights, patent rights, trademarks, commercial secrets and other ownerships and rights, failing which the individual or entity shall bear all the legal consequences. The Website owns all the data stored in the server of the Website.

12.1 RELEASE OF RESTORING MUMS FROM LIABILITY. YOU ACKNOWLEDGE THAT WE HAVE NO DUTY TO TAKE ANY ACTIONS REGARDING: (I) WHICH USERS GAIN ACCESS TO THE SERVICE AND/OR THE WEBSITE; (II) WHICH CONTENT YOU ACCESS VIA THE WEBSITE; OR (III) HOW YOU MAY INTERPRET OR USE THE CONTENT, THE PRODUCTS, AND/OR THE SERVICE.

YOU AGREE TO RELEASE AND FOREVER DISCHARGE RESTORING MUMS, ITS PARENT COMPANIES, SUBSIDIARIES, DIRECTORS, OFFICERS AND EMPLOYEES, LICENSORS, AGENTS, AFFILIATES, CUSTOMERS, VENDORS FROM ALL LIABILITY FOR YOU HAVING ACQUIRED OR NOT ACQUIRED THROUGH THE USE OF THE SERVICE AND/OR THE WEBSITE.

12.2 NO WARRANTY. THE SERVICE AND THE WEBSITE, INCLUDING ALL CONTENT, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. USE OF THE SERVICE AND/OR THE WEBSITE IS AT YOUR OWN RISK. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, RESTORING MUMS, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT ON THE SERVICE AND/OR THE WEBSITE IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICE AND/OR THE WEBSITE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE AND/OR THE WEBSITE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICE AND/OR THE WEBSITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE WEBSITE IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA, INCLUDING USER CONTENT, THAT RESULTS FROM SUCH DOWNLOAD OR YOUR USE OF THE WEBSITE.

RESTORING MUMS DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE RESTORING MUMS SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE, OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND RESTORING MUMS WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RESTORING MUMS, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR ITS LICENSORS BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR OTHER LEGAL OR EQUITABLE THEORY (I) WITH RESPECT TO THE SERVICE AND/OR THE WEBSITE OR ANY CONTENT THEREON FOR ANY LOST PROFITS OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, SUBSTITUTE GOODS OR SERVICES (HOWEVER ARISING), OR (II) FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) US$100 (HKD775), EVEN IF RESTORING MUMS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. UNDER NO CIRCUMSTANCES WILL RESTORING MUMS BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORIZED ACCESS OR USE OF THE WEBSITE OR THE USE OF OUR SERVICE OR THE USE OF OUR PRODUCTS OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION

The technology underlying, and the entire contents of the Website and the Service, including but not limited to text, graphics, images, audio clips, digital downloads, data compilation, and code is copyrighted as a collective work under the United States and other copyright laws, and is the property of Restoring Mums and is protected by copyright and other intellectual property or proprietary rights. The collective work includes works that are licensed to Restoring Mums. Copyright 2014, Restoring Mums Limited. All rights reserved.

All trademarks, service marks, and trade names of Restoring Mums and the Service and the Website are trademarks or registered trademarks of Restoring Mums, or of their respective owners.

16.1 Governing Law. You agree that: (i) the Service and the Website shall be deemed solely based in Hong Kong; and (ii) the Service and the Website shall be deemed a passive one that does not give rise to personal jurisdiction over Restoring Mums, either specific or general, in jurisdictions other than Hong Kong. This Agreement shall be governed by the internal substantive laws of the Hong Kong judiciary, without respect to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. You agree to submit to the personal jurisdiction of a court, for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights, as further set forth in the Arbitration provision below.

16.2 Arbitration. For any dispute with Restoring Mums, you agree to first contact us at [email protected] and attempt to resolve the dispute with us informally. In the unlikely event that Restoring Mums has not been able to resolve a dispute with you after attempting to do so informally, we each agree to resolve any claim, dispute, or controversy (excluding any Restoring Mums claims for injunctive or other equitable relief) arising out of or in connection with or relating to this Agreement, or the breach or alleged breach thereof (collectively, “Claims”), by binding arbitration by the Hong Kong International Arbitration Center (HKIAC). Each party will be responsible for paying any HKIAC filing, administrative and arbitrator fees in accordance with KHIAC rules. The award rendered by the arbitrator shall include costs of arbitration, reasonable attorneys’ fees and reasonable costs for expert and other witnesses, and any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, or violation of that party’s data security, Intellectual Property Rights, or other proprietary rights. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING, AND, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. YOU AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND RESTORING MUMS ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

17.1 No Agency; Waiver. No agency, partnership, joint venture, or employment is created as a result of this Agreement and you do not have any authority of any kind to bind Restoring Mums in any respect. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

17.2 Notification. Restoring Mums may provide notifications, whether such notifications are required by law or are for other business purposes, to you via email notice, “push” notification on your mobile device, written or hard copy notice, or through posting of such notice on the Website, as determined by Restoring Mums in our sole discretion. Restoring Mums reserves the right to determine the form and means of providing notifications to Users, provided that you may opt out of certain means of notification as described in this Agreement. Restoring Mums is not responsible for any automatic filtering you or your network provider may apply to email notifications we send to the email address you provide us. We recommend that you add [email protected] to your email address book to help ensure you receive email notifications from us.

17.3 Entire Agreement/Severability. This Agreement, together with any amendments and any additional agreements you may enter into with Restoring Mums in connection with the Service and/or the Website, shall constitute the entire agreement between you and Restoring Mums concerning the Service and/or the Website. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Agreement shall otherwise remain in full force and effect and enforceable.

17.4 Assignment. This Agreement is not assignable, transferable or sub-licensable by you except with Restoring Mums’ prior written consent. Restoring Mums may transfer, assign or delegate this Agreement and any of our rights and obligations without consent.

17.6 Spending Referral Credit. Referral Credit is valid for 12 months from issuance. Your Referral Credit is automatically applied to your purchases at checkout in the order in which they expire (i.e., first to expire will be applied first). You can check the amount of credits you have earned and their associated expiration dates at any time by visiting the Invites section in My Account.

17.7 Prohibitions And Cancellation Of Referral Credit. Referral Credits are issued to a single Restoring Mums account holder at our discretion and cannot be transferred between accounts or between Users. Credits cannot be bartered, exchanged, or sold. Referral Credit is a promotional offer and is not a payment instrument; they credits are issued without any exchange of money or value from you and you have no vested property right or interest in them. Referral Credits have no cash value by themselves; they are only deemed to have a notional cash value of HK$20 if they are used in connection with an eligible purchase on the Site. Restoring Mums reserves the right to limit or cancel your Referral Credits in its sole discretion if it determines that you have violated these terms or the remainder of these Terms of Service , including through your fraudulent or misleading referral activity (for example, by inviting fake people to join Restoring Mums, using false names, using multiple email accounts or email addresses, impersonating another person or otherwise providing false or misleading information to us) or if we terminate your account for any reason. You may also be liable for civil and/or criminal penalties under applicable law.

17.8 Changes To Referral Credit Terms. Restoring Mums reserves the right in its sole discretion at any time and without prior notice to you, to add to, remove or otherwise change the terms applicable to the issuance and use of Referral Credits. Such changes may include without limitation, how you may earn and spend Referral Credits, how long Referral Credits last, minimum purchase amounts with which Referral Credits may be used and the lifetime maximum amount of Referral Credits that you may earn.

17.9 Gift Card terms & conditions. Overall Policies Restoring Mums gift cards and their use on the Service and/or the Website are subject to Restoring Mums’ Terms of Service and Privacy Policy.

17.10 Gift Card Redemption. In order to make a purchase with a Restoring Mums gift card, the user must first have a Restoring Mums account and must visit www.restoringmums.com to redeem that gift card towards the purchase of eligible Restoring Mums’ products. Each purchase amount will be deducted from the gift card total credit balance until that balance equals zero. If an order exceeds the amount of total available credit on the gift card, the remaining balance must be paid with a credit card.

17.11 Gift Card Expiration. Your Restoring Mums gift card has no expiration date.

17.12 Gift Card Limitations. Gift cards cannot be used to purchase other Restoring Mums gift cards nor can they be reloaded, resold, transferred for value, redeemed for cash or applied to any other account.

17.13 Gift Card Refunds. Gift card purchases cannot be refunded.

17.14 Gift Card Risk of Loss. The risk of loss and title for gift cards passes to the purchaser upon our electronic transmission to the purchaser or recipient, or delivery to the carrier, whichever is applicable. We are not responsible if a gift card is stolen, destroyed, or used without your permission.

17.15 Gift Card Fraud. Restoring Mums reserves the right to close member accounts and request alternative forms of payment if a fraudulently obtained gift card is redeemed and/or used to make purchases on the Website.

17.16 Inviting Friends And Earning Referral Credit. When you invite friends to register for an account at the Website, you will receive HK$20 Referral Credit to your account for each friend that makes a qualified first purchase. Your friend must be a new (this offer excludes returning or existing members) and live in a different household. You will only receive referral credit for your friend’s first qualified purchase if the purchase was a result of an invite from you via an authorized referral method. If your friend does not click on the personal referral link in their invite email or other invite mechanism to accept your invitation, you may not receive credit, and Restoring Mums will have no liability to you because there is no discernible way to identify that the purchase resulted from your referral. A qualified purchase is considered a Restoring Mums Shop purchase or order of the Service rendered by Restoring Mums. Free Trial orders do not count as a qualified purchase. There is no limit to the amount of Referral Credit you can earn and Referral Credit will accrue with every eligible friend you refer. You can track your Referral Credit by visiting the Invites section in My Account. If two people refer the same friend, the friend who sent the link that is used to create the new member’s account will be considered the referring friend, regardless of which link was sent to the new member first. Limit to one referral credit per new email address that is registered on the Website. You may not use spam or send unsolicited emails to people you don’t personally know to collect referrals and you may not collect referrals by posting on message boards or other online venues in violation of such venues’ terms of use.
